Pharmaids Pharmaceuticals conducted a postal ballot through remote e-voting (CDSL platform) from December 2-31, 2025, with the cut-off date set as November 28, 2025 and 8,332 eligible shareholders. Two resolutions were passed with overwhelming majority: (1) Special Resolution to appoint Dr. Yogananda Moolemath (DIN: 02870387) as an Independent Director for a first term of 5 years effective January 1, 2026, which received 2,68,78,124 votes in favor out of 2,68,78,160 polled (99.9999%); and (2) Ordinary Resolution to approve payment of remuneration to Non-Executive Directors for FY 2025-26 to FY 2027-28, which received 1,01,26,354 votes in favor out of 1,01,26,390 polled (99.9996%). Promoters and promoter group, being interested parties, abstained from voting on the remuneration resolution, leaving 11,62,149 of their shares as invalid votes for that agenda item.
The new Independent Director addition strengthens the board's independent oversight starting January 1, 2026. The remuneration approval gives the board flexibility to pay non-executive directors as minimum remuneration even in years with inadequate profits, valid for three financial years.
