Pidilite Industries has shared the results of its postal ballot (e-voting held from April 22 to May 21, 2025), in which all four ordinary resolutions were approved by shareholders. The resolutions included: (1) appointment of Bharat Puri as a Non-Executive and Non-Independent Director for three years from April 10, 2025, after stepping down as Managing Director (92.15% in favour); (2) formal elevation of Sudhanshu Vats from Managing Director Designate to Managing Director (99.85% in favour); (3) elevation of Kavinder Singh from Joint MD Designate to Joint Managing Director (99.84% in favour); and (4) appointment of Ms. Jessica Apurva Parekh as Lead – Special Projects at an annual remuneration of Rs. 45 lakhs (87.55% in favour). The Scrutinizer's Report confirmed all resolutions were passed with the requisite majority. The minutes were signed on June 4, 2025 by Company Secretary Manisha Shetty and Chairman M B Parekh.
The results formalize the top-management transition at Pidilite, with Vats and Singh now confirmed as MD and Joint MD respectively, while former MD Bharat Puri continues on the board in a non-executive capacity. The Parekh appointment, a related-party item, still passed comfortably at over 87% but drew notably higher dissent than the other resolutions, which investors may want to track for governance optics.
