Piramal Enterprises Limited has filed the consolidated Scrutinizer's Report for the NCLT-convened meeting of its secured creditors held on July 4, 2025. The meeting was called to consider and approve a composite scheme of arrangement among Piramal Enterprises, Piramal Finance Limited (formerly Piramal Capital & Housing Finance Limited), and their respective shareholders and creditors. The secured creditors approved the scheme with the requisite majority, with 100% of the secured debt value (approximately Rs. 5,969 crore) voting in favor. The meeting was initially delayed by 30 minutes to achieve the required quorum of 30 secured creditors. Remote e-voting was conducted from July 1 to July 3, 2025, via NSDL.
This is a positive procedural milestone — secured creditors have approved the composite scheme of arrangement, bringing the restructuring between Piramal Enterprises and Piramal Finance one step closer to completion. Further NCLT and regulatory approvals will still be required, but the de-risking of this approval hurdle reduces execution uncertainty for shareholders.
