Alka India Limited has published its 32nd Annual Report for FY 2025-26 ahead of the AGM scheduled for May 4, 2026. The report covers standalone and consolidated financials, board changes including appointment of two new Independent Directors (Himali Thakkar and Sagar Kumar) and resignation of Rajesh Sutaria, and a new Company Secretary appointment. The Board has recommended a 4% dividend (Rs. 0.04 per share on Re. 1 face value), with April 27, 2026 as the record date. Two special resolutions are on the agenda: expansion of the company's object clause to enter ethanol production/distribution and metals/mining/crude oil business; and a bonus issue of 6 new equity shares for every 1 held specifically to public shareholders to comply with Minimum Public Shareholding (MPS) norms, with record date May 8, 2026.
Shareholders should vote on dividend approval, business expansion into ethanol and metals, and the mandatory bonus issue to achieve MPS compliance. The MPS-compliant bonus is a regulatory requirement — it will increase the public float and reduce promoter holding proportionately.
