GB Global Limited reported a sharp year-on-year decline in Q1 FY26 (quarter ended 30 June 2025). Standalone revenue from operations fell to Rs 1,330.65 lakhs from Rs 2,743.44 lakhs in Q1 FY25, a drop of roughly 51%. However, total income was boosted by other income of Rs 3,212.70 lakhs, lifting standalone net profit to Rs 1,524.86 lakhs (vs Rs 5,675.81 lakhs YoY) and EPS to Rs 3.05 (vs Rs 11.34). Consolidated net profit stood at Rs 1,261.21 lakhs. No exceptional items were booked this quarter. The board also re-approved the merger of GB Global with Dev Land & Housing Pvt Ltd (DLH), the resolution applicant that revived the company after its 2017 CIRP, with shareholders to be offered an exit at Rs 120 per share. Shares remain suspended on NSE/BSE pending re-listing approvals. Auditor Bhuta Shah & Co LLP issued an unmodified limited review.
Operating revenue roughly halved YoY, indicating weak core textile sales, although high other income propped up the bottom line. The pending merger with DLH could be material for shareholders given the Rs 120 exit offer, but re-listing status remains uncertain and trading continues to be suspended.
