RRP Defense Ltd (formerly Euro Asia Exports Limited) announced the results of its postal ballot conducted via remote e-voting from 11th November to 10th December 2025. All three special resolutions were approved by shareholders with overwhelming majority (99.77% in favour, 0.23% against). Resolution 1 approved the acquisition of up to 100% stake in RRP Drones Innovation Private Limited through a share swap via preferential allotment. Resolution 2 approved increasing the authorised share capital to Rs. 27 crore. Resolution 3 approved related party transactions. Notably, promoters holding 10,240,400 shares did not vote on any resolution; only public shareholders (2,214,398 votes out of 3,478,400 public shares, or 63.66%) participated, resulting in an overall voting turnout of just 16.14% of total outstanding shares (13,718,800).
Shareholders have cleared the path for RRP Defense to acquire RRP Drones Innovation via a share-swap deal and to expand its authorised capital, which could lead to share dilution through the preferential allotment. The low overall voting turnout means a small group of public shareholders effectively decided all three outcomes.
