Aris International Limited held its 30th AGM on 30th September 2025 via video conferencing, from 10:17 AM to 10:40 AM. Five resolutions were tabled and all were passed with 100% votes in favour and zero votes against. The resolutions covered adoption of audited financial statements for FY ended 31st March 2025, re-appointment of Mr. Chanakya Chirag Agarwal as Director (retiring by rotation), his regularization as Whole Time Director, and regularization of Ms. Baljeet Kaur as Director and Mr. Shashi Raghavan Acharya as Independent Director. Only 15 members participated in voting, casting 3,09,724 votes which is just 20.65% of the total 15,00,000 paid-up shares. Notably, the promoter group holding 9,14,030 shares (about 61% of the company) did not cast any votes. Ajay Yadav of M/s Ajay Yadav & Associates served as the Scrutinizer.
All governance resolutions passed without any opposition, indicating no shareholder dissent. However, the extremely low voting turnout (20.65%) and absence of promoter votes may reflect weak shareholder engagement, which retail investors may want to monitor. The board remains unchanged in composition with the key Director retaining his position.
