IMP Powers held its 63rd AGM on September 26, 2025 via video conferencing, where 11 resolutions were put to vote. Only 10,461 shares out of 86,36,563 outstanding (just 0.12%) were polled — 6,215 in favour and 4,246 against. Strikingly, the promoter group (holding 11,83,615 shares, or ~13.7% of equity) did not cast any votes. All five ordinary resolutions passed with a simple majority. However, all six special resolutions — appointment of a new Whole-time Director, revision in borrowing limits, creation of charges, adoption of new Articles of Association, loans/investments up to Rs 300 crore, and shifting of registered office from Silvassa to Ahmedabad — received only 59.41% in favour, falling short of the 75% (three-fourths) majority required for special resolutions under the Companies Act.
The six special resolutions have technically failed and the company will likely need to re-convene an EGM or seek fresh shareholder approval via postal ballot. The complete absence of promoter voting and extremely low retail participation (0.12%) signal weak shareholder engagement, which may be a negative signal for governance-sensitive investors.
