The Mumbai bench of the National Company Law Tribunal (NCLT) has admitted the second motion petition for a Composite Scheme of Arrangement involving Allcargo Gati and several group companies, via an order dated April 30, 2025. The scheme is a complex restructuring that includes Allcargo Logistics, its subsidiaries Allcargo Supply Chain and Allcargo Worldwide, and Gati Express & Supply Chain, involving a combination of demerger, amalgamation, and reorganisation steps under Sections 230-232 of the Companies Act, 2013. Shareholders had already approved the scheme at an Extraordinary General Meeting held on February 18, 2025. The NCLT has now fixed July 2, 2025 as the next date of hearing, where it will consider sanctioning the scheme.
For Allcargo Gati shareholders, this is a procedural step forward in a major internal group restructuring. The scheme still requires final NCLT approval and other regulatory clearances before becoming effective, so there is no immediate change to shareholding or operations.
