Gujarat State Petronet Limited (GSPL) has notified shareholders of a Record Date (May 12, 2026) for the demerger and amalgamation scheme approved by the Ministry of Corporate Affairs on April 8, 2026. Under the scheme, GSPL, along with GSPC and GEL, will amalgamate into Gujarat Gas Limited (GGL), while the Gas Transmission Business will be demerged into GSPL Transmission Limited (GTL). GSPL shareholders on the Record Date will receive 10 fully paid-up equity shares of GGL (face value INR 2 each) for every 13 shares held in GSPL (face value INR 10 each). Trading in GSPL equity shares will be suspended from May 12, 2026. The new GGL shares are intended to be listed on stock exchanges pending regulatory approvals.
GSPL shareholders will receive Gujarat Gas Limited shares as part of the composite restructuring. The share exchange ratio (10 GGL shares for 13 GSPL shares) determines the value transfer, and trading suspension from May 12 means investors should expect temporary illiquidity in GSPL while the scheme executes.
