Mahindra & Mahindra (M&M) was allotted 3,24,86,158 fully paid-up equity shares of its listed subsidiary Mahindra Lifespace Developers (MLDL) under MLDL's Rights Issue at Rs. 257 per share (face value Rs. 10, premium Rs. 247). This represents a cash investment of approximately Rs. 835 crore. As a result, M&M's shareholding in MLDL increased from 51.14% to 52.43%, with total shares held rising from 7.93 crore to 11.18 crore. MLDL is a real estate developer with FY25 consolidated revenue of Rs. 372.27 crore and net worth of Rs. 1,896.10 crore, operating residential and integrated city/industrial projects across India. The transaction was carried out in cash and is not classified as a related-party transaction under SEBI LODR norms.
M&M is deepening its control over its listed real estate subsidiary by subscribing to its full rights entitlement plus additional shares. For M&M shareholders, this means higher capital allocation into the real estate arm with a modest increase in controlling stake, while MLDL shareholders see greater parent-company ownership concentration.
