The Exchange has received the disclosure under Regulation 29(2) of SEBI (Substantial Acquisition of Shares & Takeovers) Regulations, 2011 for Meena Jain & Others

Meena Jain, Chakresh Kumar Jain, Madhavi Jain, and Ashita Jain collectively acquired 1,96,08,000 equity shares (about 7.65% of share capital) of PNC Infratech Ltd through off-market transfers from three HUFs (Pradeep Kumar Jain HUF, Chakresh Kumar Jain HUF, and Yogesh Kumar Jain HUF) on March 11, 2026. The transfer was done pursuant to a partition of the Transferor HUFs. All parties involved are members of the promoter group. The total promoter and promoter group holding remains unchanged at 56.07% (14,38,41,000 shares) before and after the transaction, as this is purely an internal reallocation within the promoter family. Meena Jain's holding rose from 2.89% to 4.94%, Chakresh Kumar Jain's from 0.98% to 1.76%, Madhavi Jain's from 7.02% to 9.84%, and Ashita Jain's from 3.07% to 5.06%, while the three HUFs went to zero holding.
