POWERGRID Infrastructure Investment Trust (PGInvIT) has filed its Annual Secretarial Compliance Report for the financial year ended March 31, 2025, as required under SEBI InvIT Regulations. The Practicing Company Secretary confirmed that the Investment Manager (POWERGRID Unchahar Transmission Limited) complied with all applicable SEBI regulations during the year, with NIL deviations reported for PGInvIT, its Trustee, and the Investment Manager. However, Appendix-I reveals that the Sponsor and Project Manager — Power Grid Corporation of India (POWERGRID) — faced 5 instances of fines from NSE and BSE during the year for non-compliance with SEBI LODR Regulations related to board composition (Reg. 17), committee requirements (Regs. 18, 19, 20, 21), and timely intimation (Reg. 57). Fines ranged from Rs. 5.36 lakh to Rs. 10.22 lakh per exchange instance.
PGInvIT itself has a clean compliance record for the year, so the filing is largely procedural and neutral for unitholders. The fines on its sponsor POWERGRID relate to corporate governance lapses at the parent level (board/committee composition), not at the InvIT level, and the amounts are immaterial to POWERGRID's overall financials.
