Praj Industries has called its 39th AGM for August 11, 2025, to be held via video conferencing. Shareholders will vote on a dividend of Rs. 6 per share (300%) on the Rs. 2 face value equity for FY25, with August 4, 2025 set as the record date and payment due by September 10, 2025. The Board is seeking shareholder approval to appoint M/s MSKA & Associates as new statutory auditors for a five-year term (till 2030) at Rs. 37.50 lakhs, replacing P G Bhagwat LLP. Two new directors are proposed: Mr. Parth Chaudhari (son of the founder) replacing Ms. Parimal Chaudhari, and Mr. Berjis Desai, a senior legal professional. A key special resolution seeks to re-appoint Dr Pramod Chaudhari, the founder, as 'Founder Chairman and Mentor - Praj Group' (Whole Time Director) for five years starting July 1, 2025, with a proposed total remuneration cap of Rs. 12.74 crore for the nine-month period in FY26 (he drew Rs. 91.04 million in FY25). Secretarial auditor M/s MSN Associates (Rs. 2.50 lakhs p.a. for 5 years) and cost auditor Dhananjay V. Joshi & Associates (Rs. 3.25 lakhs for FY26) are also up for appointment/ratification.
The 300% dividend is a tangible return for shareholders and signals continued cash generation. The founder's return to an executive role and his substantial remuneration package may draw shareholder attention or pushback. The auditor rotation (P G Bhagwat to MSKA) and induction of new directors are routine governance items and unlikely to move the stock meaningfully on their own.
