Premier Ltd, under Corporate Insolvency Resolution Process (CIRP) since January 29, 2021, has filed its Annual Secretarial Compliance Report for FY 2025-26. Five key violations were identified: (1) failure to appoint a Company Secretary/Compliance Officer — with recurring fines of Rs. 1,08,560 (Q2 FY25) and Rs. 1,06,200 (Q4 FY26), totalling Rs. 2,74,760 and still unpaid; (2) non-maintenance of a functional website despite four successive advisory letters from NSE; (3) failure to implement a Structured Digital Database for insider trading compliance; (4) deficiencies in financial results filings (wrong XBRL mode, missing segment info, non-prescribed format); and (5) non-payment of annual listing fees to both BSE and NSE. The resolution plan by Fab Metals Private Limited has been approved by the Committee of Creditors but is pending NCLT adjudication. All non-compliances remain unremedied, with the RP citing the ongoing CIRP as the reason.
