Pursuant to intimation made under Regulation 30 (LODR) regarding the Resignation of Mrs. Sarita Jindal from the position of Non-Executive Director.

Mrs. Sarita Jindal (DIN: 00021622) has resigned as Non-Executive Director of Prima Industries Ltd, effective December 4, 2025, citing personal reasons and professional commitments. This is the second director exit in quick succession, following the resignation of Independent Director Mrs. Neethu Subramoniyan on November 18, 2025. The Board has approved the resignation via circular resolution and reconstituted all five Board Committees (Audit, Nomination & Remuneration, Stakeholders Relationship, CSR, and Risk Management) using existing directors. Existing Independent Director Mrs. Hemalatha G has been moved into the committees vacated by the resigning Independent Director. Importantly, no new director has been appointed to fill the vacancy, and the current board now has only two Independent Directors against the prior complement.
