Prime Focus Limited announced an internal restructuring involving its step-down subsidiaries to consolidate its AI and Technology business under the 'Brahma' brand. The restructuring includes three steps: (1) transfer of proprietary software worth INR 75.2 Crores from Brahma AI Services India to Brahma AI ME Ltd, (2) transfer of proprietary software worth US$ 3.44 Million from Prime Focus Technologies Inc. to Brahma AI ME Ltd, and (3) a slump sale of the TCS and Restoration business for INR 26.5 Crores from Brahma AI Services India to DNEG India Media Services Limited. The TCS and Restoration business contributed INR 102.62 Crores (2.85%) to consolidated turnover and INR 23.86 Crores (2.38%) to consolidated net worth in FY 2024-25. The Audit Committee approved the restructuring on March 30, 2026, and all transactions are between related parties (step-down subsidiaries) done at arm's length.
This is purely an internal reorganization with no change in the parent company's shareholding pattern or any cash coming into PFL directly. Existing shareholders are not directly affected, but the restructuring aims to streamline operations and unlock additional revenue streams under the unified 'Brahma' brand, which could support long-term operational efficiency.
