Hiren Chandrakant Ghelani, a promoter of Prime Fresh Limited, disclosed the acquisition of 1,18,849 equity shares through conversion of warrants into equity shares on 30th March 2026 via preferential allotment. Prior to this, he held 50,03,839 shares (36.36% of voting capital) along with 8,44,755 warrants (6.14%) and 41,59,084 encumbered shares (30.22%). Post-allotment, his shareholding stands at 42,77,933 shares (29.29% on diluted basis), with 7,25,906 warrants remaining, bringing his total economic exposure to 36.05% of the diluted share capital. The total equity share capital of the company increased to Rs. 14,60,57,670 (1,46,05,767 shares of Rs. 10 each) on a fully diluted basis.
This is a small, pre-committed acquisition by a promoter via warrant conversion — not an open-market purchase — so it is price-neutral and already expected. Promoter holding remains well below 50% at 36.05%, and no takeover trigger is activated. Shareholders see a marginal dilution of about 0.81% on the diluted capital base.
