Proceedings and Scrutinisers Report of the 62nd Annual General Meeting (AGM) of Futura Polyesters Limited

Futura Polyesters Limited held its 62nd AGM on 29 May 2026 via Video Conferencing. The meeting was chaired by Mr. Shyam B. Ghia, Chairman & Managing Director. All three resolutions were passed unanimously with 23,391,649 votes in favour and zero against. The ordinary resolution adopted audited financial statements for the year ended 31 March 2023 (which appears to be a significantly delayed adoption given the current date). Special resolutions approved the re-appointment of Mr. Shyam B. Ghia as Managing Director and Mr. Mukund Dharamdas Dalal as Joint Managing Director. The auditors and secretarial auditor had qualifications/adverse remarks which were replied to in the Directors' Report. 33 members attended via VC and 21 members voted through remote e-voting. The meeting lasted approximately 9 minutes.
