PTC India held its 26th AGM on August 8, 2025 via video conferencing, where all 10 resolutions were passed with the required majority. Shareholders approved the audited financial statements for FY24 and FY25 (standalone and consolidated) with over 99% support, except the FY24 consolidated financials which saw 13.71% dissent, mostly from public institutional investors. The final dividend for FY25 was approved with 99.99% support. Dr. Manoj Kumar Jhawar was appointed as Chairman & Managing Director with 97.42% votes in favour. A special resolution to amend the Main Object Clause of the Memorandum of Association also passed with 99.85% support.
The smooth approval of all resolutions keeps the company's governance and dividend plans on track. Shareholders should note the notably high dissent (45%) on the re-appointment of director Shri Rajiv Ranjan Jha, with 66% of public institutional investors voting against, signalling some institutional discomfort. Final dividend approval is a positive for income-focused investors.
