Purple Finance Limited announced the results of a postal ballot (e-voting held from February 7 to March 8, 2026) covering four resolutions, all of which were passed with near-unanimous shareholder support. The resolutions were: (1) an increase in authorized share capital with a corresponding amendment to the MOA's capital clause (100% in favor), (2) issuance of convertible warrants on a preferential basis to certain allottees under Section 62(1)(c) (99.99% in favor), (3) alteration of the Articles of Association (100% in favor), and (4) alteration of the MOA to change the objects of the company (99.99% in favor). Out of 3,564 eligible shareholders as of the January 30, 2026 cut-off date, only 61 voted, casting 17,093,257 shares in favor across the resolutions with virtually no dissent. The scrutinizer, CS Abhilasha Chaudhary, submitted her report on March 9, 2026, confirming the resolutions were passed with the requisite majority.
Shareholders have green-lit a potential capital raise via preferential convertible warrants and approved a wider business-object clause, which could lead to equity dilution and a possible shift in the company's business direction. Note that promoters and promoter group members, who are proposed allottees in the preferential issue, also voted in favor of that resolution, a common but worth-flagging governance point. Near-total approval signals no meaningful shareholder opposition to management's plans.
