Purple Finance Ltd has sent a Postal Ballot Notice to shareholders seeking approval via remote e-voting (Feb 7 – Mar 8, 2026) for four key resolutions. The first is an ordinary resolution to raise the authorised share capital from Rs. 70 crore to Rs. 82.60 crore (adding 1.26 crore equity shares of Rs. 10 each). The second is a special resolution to issue up to 1,26,00,000 convertible warrants on a preferential basis at Rs. 55 per warrant (Rs. 45 premium), aggregating Rs. 69.30 crore, to 8 identified allottees including AC Enterprises Pvt Ltd (Rs. 35.75 crore), Sandeep Jindal (Rs. 12.65 crore) and Rachit Gupta (Rs. 11 crore). The third resolution seeks to amend the Articles of Association to allow debenture trustees to appoint a Nominee Director on the board in case of defaults. The fourth resolution proposes amending the MOA to add mutual fund distribution as a new business activity.
If approved, the preferential warrant issue could result in significant equity dilution for existing shareholders once warrants are converted (each warrant into one equity share, exercisable within 18 months). The capital raise of up to Rs. 69.30 crore may strengthen the company's balance sheet and support its planned entry into mutual fund distribution, but retail shareholders should weigh the dilution impact against potential growth benefits. Voting is entirely electronic with a cut-off date of January 30, 2026.
