Pursuant to appointment of Independent Director, the various committees of the board has been re-constituted.

ARSS Infrastructure Projects has appointed Mr. Manoranjan Panigrahy (DIN: 11360139) as a Non-Executive Independent Director (Additional) for a 5-year term effective October 31, 2025, subject to shareholder approval. Mr. Panigrahy is a retired Indian Revenue Service officer, aged 61, with over 35 years of experience in the Income Tax department, including serving as Principal Chief Commissioner of Income Tax for West Bengal, Bihar & Jharkhand, and Odisha. Following his appointment, four board committees — Audit, Nomination & Remuneration, Stakeholders' Relationship, and CSR — have been reconstituted. All four committees are now composed entirely of three independent directors: Ms. Payal Agarwal (Chairperson), Mr. T.K. Padmanaban (Member), and Mr. Panigrahy (Member). The appointment was approved via a circular resolution and disclosed under SEBI LODR Regulation 30.
