AI summary

JBF Industries Limited held its 43rd Annual General Meeting on September 30, 2025, chaired by the Resolution Professional Mr. Mukesh Verma since the company is under the Corporate Insolvency Resolution Process (CIRP). Two ordinary resolutions were passed with overwhelming majority: (1) adoption of audited financial statements for FY2024-25, approved by 99.91% of votes (18,870,731 for vs 16,511 against), and (2) carrying forward the preference share dividend to the next year, approved by 99.92% (35,236,270 for vs 26,762 against). Importantly, the Chairman shared an update on the insolvency process, stating that out of 25 prospective resolution applicants in the final list, 9 submitted resolution plans. After negotiations and a Swiss challenge round, one compliant resolution plan has been placed before the Committee of Creditors (CoC) for consideration, and the CoC's decision will be filed with the NCLT for approval. The CIRP is likely to conclude shortly.

Likely market impact

This is a material positive development for shareholders — the company is nearing the end of its long-running insolvency process with a compliant resolution plan now before the CoC. If approved by the NCLT, this could mark a turning point for the stock, potentially leading to revival and recovery. However, outcome remains uncertain until NCLT approval.
