The Board of Directors of RCC Cements Ltd, at its meeting held on 29 August 2025, approved the reclassification of five outgoing promoters (Mr. Yogesh Jain, Ms. Anupreksha Jain, Yogesh Jain HUF, Focus Impex Pvt Ltd, and Ms. Preeti Jain) from the 'Promoter and Promoter Group' category to the 'Public' category. Three of the five promoters (Yogesh Jain, Focus Impex, and Preeti Jain) have already fully divested their shareholding and currently hold zero shares. The remaining two (Anupreksha Jain and Yogesh Jain HUF) hold a combined 1,22,500 shares, or just 2.18% of the paid-up capital. The Board confirmed these promoters do not exercise any control over the company and their combined voting rights are well within the 10% limit prescribed under SEBI's Regulation 31A(3)(b). The reclassification is now subject to approval from BSE, shareholders at the upcoming AGM, and any other regulatory authorities.
This is a procedural reclassification with minimal impact on shareholding structure, as the outgoing promoters collectively hold only 2.18% of the company and have no board representation or control. Shareholders should note that BSE and AGM approvals are still pending, so the reclassification is not yet effective.
