GV Films Ltd has submitted its 36th Annual Report for the financial year ended March 31, 2025, along with the notice for its 36th AGM scheduled for December 1, 2025 via video conferencing. The company reported standalone revenue of Rs. 200 lakhs (up from nil in FY24) and a standalone net profit of Rs. 11.94 lakhs, reversing the previous year's loss of Rs. 128.31 lakhs. However, on a consolidated basis, losses widened to Rs. 179.56 lakhs from Rs. 42.84 lakhs, with accumulated losses standing at Rs. 17,108.83 lakhs. The company raised its share capital from Rs. 91.46 crore to Rs. 186.46 crore via a preferential issue of 95 crore equity shares of Re. 1 each. No dividend was declared due to accumulated losses. Six new director appointments are proposed at the AGM, including members of the Jain family who hold significant stakes.
The turnaround to standalone profitability is a positive signal, but persistent consolidated losses and huge accumulated losses indicate ongoing structural challenges. The large preferential share issue (more than doubling the capital) will significantly dilute existing shareholders, though it appears tied to the incoming promoter group (Jain family). Shareholders should review the qualified auditor opinion and consolidated financials carefully.
