Quess Corp announced two board changes at its May 4, 2026 meeting. Mr. Chandran Ratnaswami resigned as Non-Executive Director effective May 31, 2026, citing his advancing age and desire to make space for younger people. In replacement, Mr. Anish Thurthi was appointed as Additional Director (Non-Executive, Non-Independent) effective June 1, 2026, subject to shareholder approval at the 19th AGM. Anish Thurthi is a Chartered Accountant with 20+ years experience in M&A and investment advisory, currently serving at Fairbridge Capital (associated with Fairfax Financial Holdings). Separately, the company declared a special interim dividend of Rs. 3 per share to commemorate 10 years of listing, in addition to recommending a final dividend of Rs. 3 per share for FY26.
The board transition is routine as the departing director voluntarily stepped down for age reasons. The new director brings M&A expertise from Fairfax group which could benefit strategic initiatives. Combined with Rs. 447.99 million special dividend payout, the announcement is mildly positive for shareholders.
