R.P.P. Infra Projects has issued a postal ballot notice to seek shareholder approval for a material related party transaction with Repplen Projects Private Limited, valued at up to Rs. 665 crore (the actual subcontracted work orders total Rs. 664.32 crore). The company had originally won these six work orders (covering road construction, EPC projects, and infrastructure works across Tamil Nadu and Maharashtra) and plans to subcontract them to Repplen Projects, a related party where directors Mr. P Arul Sundaram and Mrs. A. Nithya are connected. The transaction represents approximately 46% of the company's FY 2025 annual consolidated turnover, which is why SEBI's Listing Regulations require shareholder approval. E-voting opens on July 12, 2025 and closes on August 10, 2025, with results expected by August 12, 2025. The company states the subcontract is at arm's length, in the ordinary course of business, and justified by Repplen's expertise and competitive pricing.
Shareholders are being asked to approve a large related party deal that equals nearly half of the company's annual turnover, which carries some governance scrutiny risk but is presented as routine subcontracting. The resolution is an Ordinary Resolution (simple majority needed), and if approved, allows the company to proceed with subcontracting these infrastructure projects. Investors should review the related party disclosures and consider voting before the August 10, 2025 deadline.
