RRIL Limited has completed the acquisition of a 50% stake in Sumati Spintex Private Limited on December 26, 2025. The acquisition was done in two parts: 31% (37,05,000 equity shares of Rs.10 each) acquired from existing shareholders, and the remaining 19% (22,70,000 equity shares) acquired from Raj Rajendra Industries Limited, RRIL's wholly owned subsidiary. This follows the earlier disclosure dated August 12, 2025. With the completion, Sumati Spintex has become an associate company of RRIL.
The deal gives RRIL strategic exposure to the spinning/textile business through an associate company, but no open offer is triggered as it remains an associate (not a subsidiary). The impact on listed shareholders is incremental and limited to RRIL's potential share in associate-level earnings.
