R Systems International has announced that the Composite Scheme of Amalgamation involving Velotio Technologies Private Limited and Scaleworx Technologies Private Limited merging into R Systems has become effective from May 1, 2026. The Hon'ble NCLT New Delhi Bench passed the sanction order on April 16, 2026, and the certified copy was filed with the Registrar of Companies on May 1, 2026. The appointed date of the scheme is April 1, 2024. Both transferor companies stand dissolved without being wound up. The authorised share capital has been increased to INR 20.70 crore, comprising 20.18 crore equity shares and 52 lakh preference shares of INR 1 each.
This amalgamation strengthens R Systems' market position by consolidating two technology companies. The share capital restructuring and upcoming OCRPS allotment on May 6, 2026 will dilute existing shareholders as per the scheme terms.
