Raconteur Global Resources Limited (formerly Ganesh Films India Ltd) has called its 2nd EGM of FY 2025-26 on Friday, 9th January 2026 at 12:00 PM via video conferencing. Three special business items will be taken up: (1) Appointment of Ms. Gowhar Parveen Mallick as Non-Executive Non-Independent Director (Ordinary Resolution). (2) Preferential issue of 84,28,565 equity shares at Rs. 14 per share (face value Rs. 10, premium Rs. 4) to non-promoters, aggregating to about Rs. 11.80 crore, of which Rs. 6.18 crore comes from converting a loan into equity. (3) Issue of up to 2,23,21,421 convertible warrants at Rs. 14 each to non-promoters, aggregating up to about Rs. 31.25 crore, exercisable within 18 months. E-voting runs from 6th to 8th January 2026, with cut-off date 2nd January 2026.
Shareholders should note the combined preferential equity and warrant issue could raise up to roughly Rs. 43 crore but will lead to significant equity dilution. Existing shareholders may want to review the price (Rs. 14) and the list of proposed allottees before voting.
