The Board of Rajapalayam Mills has approved buying additional shares of its associate company, Ramco Industries Ltd (RIL), worth up to Rs. 15.80 Crores from Smt. Alagaraja Ramalakshmi, a promoter group member, at prevailing market price. This is an internal reshuffle within the promoter group (inter se transfer) and supersedes an earlier resolution from November 2024. Rajapalayam Mills' existing Rs. 89.94 Crore investment in RIL is now worth Rs. 363.47 Crores at current market value, reflecting strong appreciation. The promoters collectively hold 54.81% in RIL and management will not change. RIL reported standalone turnover of Rs. 1,387.02 Crores in FY25, up from Rs. 1,298.52 Crores in FY24, and operates in fibre cement sheets, calcium silicate boards, and wind power. The acquisition is to be completed within six months in cash.
This is a routine internal reshuffle among promoter group entities and not a fresh market purchase, so it should not materially impact Rajapalayam Mills' stock price. Shareholders get indirect confirmation that the company's investment in RIL has more than quadrupled in value, signaling strong wealth creation through its associate holding.
