Rajapalayam Mills has announced the results of its Postal Ballot conducted through remote e-voting from 10th September to 9th October 2025. Shareholders approved all six resolutions with overwhelming majority. Resolutions 1-4 approved material related party transactions of up to Rs. 450 Crores each with Ramco Industries, Sandhya Spinning Mill, Sri Vishnu Shankar Mill, and The Ramaraju Surgical Cotton Mills for FY 2025-26 to 2027-28, with 98.67% votes in favor. Resolution 5, a special resolution, approved investments, loans, guarantees and security up to Rs. 150 Crores in excess of Sec 186 limits, passing with 99.72% in favor. Resolution 6 approved the re-appointment of Justice Smt. Chitra Venkataraman (Retd.) as Non-Executive Independent Director for a second five-year term, passing with 99.80% in favor. Promoters were interested in and abstained from voting on the RPT resolutions but voted in favor of the other two.
Routine governance update with no material negative implications for shareholders. The strong voting margins (over 98% in favor) indicate broad shareholder support for the company's related party transactions, borrowing/investment flexibility, and board composition. No price-impacting signal.
