Rajeswari Infrastructure Ltd held its 31st AGM on August 19, 2025, via video conferencing from 2:30 PM to 3:25 PM, chaired by Mr. Sanjay Mehra, the Resolution Professional, as the company is under the Corporate Insolvency Resolution Process (CIRP). The original AGM scheduled for August 12, 2025 could not be held due to lack of quorum and was reconvened on August 19, 2025, where again quorum was not initially present but the meeting proceeded after a half-hour wait as permitted under Section 103 of the Companies Act, 2013. Two ordinary resolutions were passed with requisite majority: adoption of audited financial statements for FY ended March 31, 2024, and appointment of M/s Pawan Puri & Associates as Statutory Auditor. The Resolution Professional also briefed shareholders that the Committee of Creditors has approved the Resolution Plan with 100% voting share, which has been submitted to NCLT Chennai for approval under Section 30(6) of the IBC, 2016.
The successful conclusion of the AGM clears a key governance hurdle for the company, which is under insolvency. Shareholders should watch for the NCLT's approval of the submitted Resolution Plan, as this is the critical next step that will determine the company's revival, restructuring terms, and impact on equity value — equity holders typically face significant dilution or loss of value in IBC resolutions.
