Rama Steel Tubes' board approved its Q1 FY26 (June 2025) results on August 12, 2025. Standalone revenue from operations rose to ₹24,266.56 lakhs (vs ₹15,829.63 lakhs in Q1 FY25), with profit after tax of ₹644.56 lakhs (vs ₹258.35 lakhs YoY) and EPS of ₹0.04. Consolidated revenue was ₹26,813.45 lakhs with PAT of ₹495.64 lakhs. Mr. Manish Kumar resigned as Company Secretary & Compliance Officer (a KMP role) effective August 12, 2025, and Mr. Vikas Sharma (ICSI M. No: A75640) was appointed in his place. The board also appointed Mr. Hari Shankar Singh as Additional Executive Director, re-appointed Mr. Naresh Kumar Bansal (promoter) as Managing Director for five years (Oct 2025–Sep 2030), and appointed M/s Arun Kumar Gupta & Associates as Secretarial Auditor for five years. The 51st AGM is set for September 30, 2025. Additionally, the company allotted 40.32 lakh shares to Mr. Vinit Bharat Shah at ₹14/share and issued 15.76 crore shares at ₹11.25/share to non-promoters during the quarter, while acquiring an associate company, Bigwin Buildsys Coated Pvt Ltd.
Strong YoY revenue and profit growth in Q1 FY26 is positive for shareholders. The KMP-level resignation and replacement of the Company Secretary is a routine governance update, though investors may watch for the reason behind the exit. The large preferential share issuances during the quarter have meaningfully diluted existing shareholders.
