Consolidated revenue rose to ₹26,813.45 lakhs though PAT dipped to ₹495.64 lakhs from ₹619.98 lakhs. The board approved re-appointment of Mr. Naresh Kumar Bansal as Managing Director for 5 years (Oct 1, 2025 – Sep 30, 2030), subject to shareholder approval. Mr. Manish Kumar resigned as Company Secretary & Compliance Officer effective Aug 12, 2025, and was replaced by Mr. Vikas Sharma. Mr. Hari Shankar Singh was appointed as Additional Executive Director. The company also raised funds via preferential allotments (40.32 lakh shares to Vinit Bharat Shah at ₹14 and 15.76 crore shares to non-promoters at ₹11.25) and acquired a 24.80% stake in Bigwin Buildsys Coated Pvt. Ltd., making it an associate. The 51st AGM is scheduled for September 30, 2025.
Strong YoY standalone earnings growth and continued promoter leadership provide stability, but consolidated profit decline and significant equity dilution from preferential issuances may pressure per-share metrics in the short term.
