Ramkrishna Forgings reported standalone FY25 revenue of around Rs. 3,834 crore, up about 10% from the restated FY24 figure of Rs. 3,489 crore, while standalone PAT jumped nearly 49% to Rs. 408 crore (from Rs. 274 crore restated), boosted by a Rs. 102.87 crore exceptional gain from the sale of its subsidiary Globe All India Services. However, the joint statutory auditors (S.R. Batliboi & Co. LLP and S.K. Naredi & Co.) issued a qualified opinion after uncovering an inventory overstatement of Rs. 220.52 crore in FY25 and Rs. 50.22 crore in FY24, caused by erroneous entries and non-recording of rejections at plants, resulting in a Rs. 202.60 crore (~6.73%) adverse impact on net worth. Prior period results have been restated and an independent external investigation is still underway for the root cause. The Board declared a 2nd interim dividend of Re. 1 per share (record date June 6, 2025) and approved issuance of 9,75,000 convertible warrants to promoter Riddhi Portfolio at Rs. 2,100 each, aggregating ~Rs. 204.75 crore, subject to EGM approval on June 28, 2025.
The headline earnings beat is overshadowed by the qualified audit opinion and material inventory discrepancy, which is a significant governance red flag and may weigh on investor sentiment despite the promoter-funded capital infusion. Shareholders get a small interim dividend, but the pending final investigation report and the excess managerial remuneration requiring shareholder ratification remain key risks to monitor.
