Ramky Infrastructure has signed a Share Purchase Agreement on March 30, 2026 to sell its entire 51% stake (91,80,000 equity shares) in subsidiary Visakha Pharmacity Limited (VPCL) to Brij Gopal Construction Company Private Limited for a consideration of Rs 165.24 Crores. The board had approved the sale on March 28, 2026, and the company has already received the sale consideration, with share transfers to be completed within 10 days. The buyer is not part of the promoter/promoter group, and the transaction is not a related-party deal. In FY25, VPCL reported a consolidated turnover of Rs 4,093.29 million, PBT of Rs 400.37 million, and net worth of Rs 3,023.26 million.
The deal unlocks Rs 165.24 Cr of cash from a non-core subsidiary and exits the pharma-city business, allowing Ramky Infrastructure to focus on its core infrastructure operations and potentially reduce debt. Since the buyer is an unrelated third party and the deal is at arm's length, it signals transparent value monetisation for shareholders.
