RBL Bank has submitted the consolidated voting results and scrutinizer's report for its 82nd AGM held on September 26, 2025 via video conferencing. All eight resolutions were passed with the required majority, including adoption of standalone and consolidated financial statements for FY25, declaration of a dividend of ₹1 per equity share (face value ₹10), and appointment of statutory and secretarial auditors. Two special resolutions were also approved: issuance of debt securities on a private placement basis and raising funds through a Qualified Institutions Placement (QIP) of equity shares. Voting was conducted by 3,58,147 shareholders holding 61.30 crore equity shares, with roughly 47% of outstanding shares participating. Most resolutions passed with near-unanimous support, though the director re-appointment of Mr. Gopal Jain saw 16.55% dissent and the QIP resolution saw 19.14% dissent.
Shareholders have approved a ₹1 per share dividend and cleared the way for the bank to raise additional capital through a QIP and private debt placements, which could lead to equity dilution and impact per-share metrics. The notable dissent on the QIP and director re-appointment may signal some investor concern about capital-raising plans and board continuity, but no resolution was defeated.
