Gujarat State Petronet Ltd (GSPL) has received an order dated 10 September 2025 from the Ministry of Corporate Affairs (MCA), New Delhi, regarding the proposed Composite Scheme of Amalgamation and Arrangement involving five group companies — GSPC (Transferor 1), GSPL (Transferor 2), GSPC Energy (Transferor 3), Gujarat Gas (Transferee/Demerged), and GSPL Transmission (Resulting). The MCA has dispensed with shareholder meetings for GSPC Energy and GSPL Transmission as 100% consent affidavits were submitted. Equity shareholder meetings have been directed for GSPL and Gujarat Gas via video conferencing, while GSPC's meeting may be held physically or via VC. Meetings of unsecured creditors have also been dispensed with, and notices will be sent to statutory authorities. The cut-off date for shareholder eligibility is 1 August 2025, with notices to be sent at least 30 days before the meeting.
