Recode Studios (BSE Scrip 544755) has called an EGM on August 11, 2026 at 3:00 PM via video conferencing. Two special resolutions are on the table: (1) approve RSL ESOP 2026 covering up to 3,00,000 stock options, equal to 2.82 percent of existing paid-up equity, at face value Rs 10 per share; (2) extend the same ESOP benefits to employees of holding, subsidiary, associate and group companies using the same 3,00,000 share pool. Promoters, promoter group, independent directors and those holding over 10 percent are excluded. E-voting cut-off is August 4, 2026 and remote voting runs August 8 to 10, 2026.
If approved, ESOP 2026 could dilute existing equity by up to 2.82 percent once options are exercised. Shareholders should vote by August 10, 2026.
