Regency Fincorp's board approved the allotment of 66,20,201 equity shares on December 20, 2025, following the conversion of warrants at Rs. 22 per share (including a Rs. 12 premium). The company received Rs. 10.92 crore as the balance 75% payment from warrant holders, who had earlier paid 25% upfront when 4.33 crore warrants were issued on December 28, 2024. Allottees include both promoters and non-promoters, such as Gaurav Kumar (19.77 lakh shares), Neha Abrol (18.18 lakh), and Annaya Management Consultancy (18.18 lakh). After this allotment, the company's paid-up capital rises to Rs. 80.17 crore, comprising 8.02 crore equity shares of Rs. 10 each. About 11.09 lakh warrants remain outstanding for future conversion. Separately, the board has set up a Green Bond Committee to evaluate funding a hybrid renewable energy telecom project by Cosmos Power Technologies across 100 tower sites in Maharashtra.
The conversion is mildly dilutive, increasing the share count by about 66 lakh shares (~8.3% expansion over previous base), but the company has already received the full funds, strengthening its equity base. Existing shareholders may see some dilution, though the Rs. 10.92 crore inflow and the green bond initiative signal a focus on capital raising and sustainable infrastructure financing.
