Regency Fincorp's board has approved issuing 40,000 secured, rated, listed non-convertible debentures (NCDs) on a private placement basis, with a face value of ₹10,000 each, totaling ₹40 crore. The issue is split into a base tranche of ₹20 crore and a green shoe option of another ₹20 crore. The NCDs carry a coupon rate of 14% per annum paid monthly, with a short tenure of about 12 months and 5 days, and are backed by a 1.25x security cover. The NCDs will be listed on BSE and allotted via the Electronic Book Platform (EBP). Catalyst Trusteeship, Credora Partners, and Infomerics have been appointed as trustee, merchant banker, and credit rating agency respectively.
For existing shareholders, this means the company is raising ₹40 crore of debt at a relatively high 14% interest rate, which will increase interest expenses but boost liquidity for lending operations. For investors, these listed NCDs offer a high-yield short-term monthly income option available on BSE.
