Regency Fincorp has filed a corrigendum correcting two points from its earlier board meeting outcome. The company is issuing 40,000 Secured, Rated, Listed, Non-Convertible Debentures (NCDs) of face value ₹10,000 each, totaling ₹40 crore, on a private placement basis. This includes a base issue of 15,000 units (₹15 crore) and a green shoe option of 25,000 units (₹25 crore). The NCDs will carry a 13% annual coupon with monthly interest payments, a 30-month tenure, principal repayment in three tranches, and a 1.35x security cover. Horizon Management India Private Limited has been appointed as the Merchant Banker for the issue. The NCDs are proposed to be listed on BSE.
The corrigendum is a procedural correction and does not change the substance of the ₹40 crore NCD fundraising plan. Shareholders should note new debt of ₹40 crore is being raised privately, which will increase the company's interest obligations at 13% p.a. but also signals growth funding activity. No equity dilution involved.
