Reliance Infrastructure filed the voting results of its 96th AGM held on August 8, 2025, where shareholders voted on 7 resolutions. All 7 resolutions were passed with the required majority. Five were ordinary resolutions (adoption of FY25 audited and consolidated financial statements, noting a director's retirement without re-election, re-appointment of statutory auditors, appointment of secretarial auditors, and remuneration to cost auditors) and two were special resolutions. The financial statements adoption saw the highest dissent at 13.27% votes against, while the other ordinary resolutions passed with over 99.8% support. Promoters voted 100% in favour of every resolution. Out of 740,029 total shareholders, 6 from promoter group and 144 from public attended via video conferencing.
Shareholders have cleared the company to raise capital through a Qualified Institutions Placement (QIP) of securities and through Non-Convertible Debentures (NCDs), which gives Reliance Infrastructure flexibility to fund growth or reduce debt but could lead to equity dilution if the QIP is executed. The notable dissent on the financial statements (13.27% against) and on the QIP (3.12% against) reflects some shareholder concern, though both still passed comfortably.
