Reliance Power announced audited consolidated and standalone results for Q4 and FY ended March 31, 2025, alongside board changes. On a consolidated basis, the company swung to a profit of Rs. 2,94,783 lakhs for FY25, compared to a loss of Rs. 2,06,838 lakhs in FY24, mainly driven by a one-time exceptional gain of Rs. 3,23,042 lakhs from deconsolidation of subsidiary Vidarbha Industries Power Limited (VIPL), whose lenders took over its management in September 2024. Revenue from operations dipped marginally to Rs. 7,58,289 lakhs from Rs. 7,89,260 lakhs. The board re-appointed Vijay Kumar Sharma (ex-LIC Chairman) as Independent Director for a second 5-year term effective September 26, 2025, and appointed Ashita Kaul & Associates as Secretarial Auditor for FY2025-26 to FY2029-30. The auditor flagged a material going concern uncertainty for the RSTEPL solar subsidiary due to lender defaults, though Reliance Power itself remains unaffected.
The headline profit turnaround is largely accounting-driven (one-time VIPL deconsolidation gain) and not from core operations, so investors should look at the underlying business performance rather than the bottom-line swing. Share dilution is modest: 10.55 crore new shares were issued on warrant conversion just before results, slightly expanding the equity base.
