The Board approved unaudited Q1 FY26 (quarter ended June 30, 2025) results, with revenue from operations at ₹2,661.71 lakhs (up ~15.9% YoY from ₹2,297.14 lakhs) and net profit after tax of ₹21.07 lakhs versus ₹19.65 lakhs in Q1 FY25; EPS stood at ₹0.19. The Board also cleared preferential allotments totalling about ₹24.12 crores at ₹129.33 per share/warrant: 6,69,226 convertible warrants to South Korea-based WSG Co. Limited (~₹8.65 cr), 5,00,000 equity shares to promoter group entity Remi Finance and Investment Pvt Ltd (~₹6.47 cr), and 6,95,893 equity shares to non-promoter allottees (~₹9.00 cr). WSG will invest USD 1 million and license technology/machinery to manufacture Ultra High Purity and titanium stainless steel tubes in India. Cost Auditor Kejriwal & Associates and Internal Auditor SIGMAC & Co. were reappointed for FY26, while Kamlesh Rajoria & Associates was appointed as Secretarial Auditor for five years; the 54th AGM is scheduled for August 28, 2025.
The preferential issues will dilute existing shareholders but bring in a strategic foreign partner (WSG) and fresh capital for higher-value UHP and titanium tube manufacturing. However, EBITDA margin compressed to ~5.3% in Q1 FY26 from ~6.0% a year ago despite revenue growth, signalling cost pressure that may cap near-term earnings upside.
