Remsons Industries Ltd has completed a postal ballot process, with all three special resolutions passed on 9 May 2026. The resolutions cover: (1) creation of mortgage/charge on company assets under Section 180(1)(a), (2) authority to borrow funds under Section 180(1)(c), and (3) authority to make investments, give loans, or provide guarantees/securities under Section 186 of the Companies Act, 2013. Voting participation was low overall at ~62% of total shares (21.6 million votes out of ~34.9 million), driven almost entirely by the promoter group which held 93.37% turnout and voted 100% in favour. Public institutions showed negligible participation (0.02%) while non-institutional public shareholders voted ~2.5% of their holding. All resolutions passed with >99.9% in favour, with only 200-356 votes against across the three resolutions.
Shareholders have approved expanded borrowing and financial flexibility for the company. The near-unanimous approval and full promoter support suggest management has a clear mandate, though the low public participation limits the breadth of shareholder validation. These resolutions give the company operational leeway to raise debt and make inter-corporate investments.
