Response Informatics' Board, at its November 14, 2025 meeting, approved two things: (1) Un-audited financial results for Q2 and H1 FY26 ended September 30, 2025, and (2) the acquisition of 100% stake in Poland-based ReadyMade Poland Sp. z 0.0., a software development and IT consultancy firm incorporated in July 2024 with nil turnover. The deal is being done for a cash consideration of just Euros 1,428.57 (about Rs. 1.47 lakhs), continuing the company's earlier communication from May 29, 2025. Standalone Q2 revenue rose slightly to Rs. 206.44 lakhs (vs Rs. 198.65 lakhs) but standalone PAT slipped to Rs. 5.45 lakhs (vs Rs. 6.44 lakhs). Consolidated Q2 revenue grew to Rs. 682.40 lakhs with PAT of Rs. 24.75 lakhs, reversing a year-ago loss. H1 consolidated revenue, however, fell to Rs. 1,298.23 lakhs from Rs. 1,876.88 lakhs last year, and consolidated PAT dropped sharply to Rs. 11.26 lakhs from Rs. 81.62 lakhs.
The acquisition is financially insignificant in scale (under Rs. 2 lakhs) and the target has zero revenue, so it is unlikely to move the needle on the stock in the near term — it appears to be a strategic market-entry step into Poland/EU rather than a value-creating deal. Mixed H1 results (declining standalone metrics and a sharp drop in consolidated profit versus last year) are a mild negative signal for shareholders.
