Sellwin Traders has allotted 3,69,63,556 (about 3.70 crore) convertible warrants to 94 non-promoter investors at Rs. 8.40 per warrant on a preferential basis, with 25% (Rs. 2.10) already received upfront and the remaining 75% due within 18 months. Each warrant converts into one equity share of face value Rs. 2. The total potential issue size is roughly Rs. 31 crore, with about Rs. 7.76 crore collected now. Four applicants (holding 75.20 lakh warrants) were excluded for not paying the 25% upfront amount. This is a revised filing to an earlier December 5 disclosure, adding the board meeting timing details (5:15 PM to 5:45 PM) as required by BSE.
If all warrants are converted within 18 months, the share count could expand significantly (up to ~3.7 crore new shares), leading to dilution for existing shareholders. However, since this is a non-promoter preferential issue, it brings in fresh capital without promoter stake change, though the low Rs. 8.40 issue price versus prevailing market could weigh on the stock.
